About the Role

The Legal Director will lead our Legal team in the Americas and is responsible for all Legal affairs in this region. This role will report directly to the General Counsel and be responsible for providing Legal counsel to the executive leadership team, the board and other senior management. 


This opportunity is for a role ultimately responsible for developing the legal function and frameworks in this region, and supporting on our strategic projects in the region. The role is an essential part of the senior management team, focusing on all legal aspects and supporting operations. Your responsibilities will include supporting on all legal matters – commercial, construction and framework agreements, liability and risks management aspects, insurance, general transactional management, heads of terms, and other ad-hoc commercial elements including corporate, commercial and finance issues.

 

Main Responsibilities 

/Support and advise our teams in relation to the full lifecycle of our data centers in the region, including acquisition of land and power, zoning and permitting, design and construction, operations and maintenance, procurement and customer contracts

/ Develop and implement the company's legal strategy to ensure compliance with relevant laws, regulations, and industry standards

/ Stay updated on legal developments and changes in the market to advise the company on potential risks and opportunities/ Work closely with internal stakeholders to ensure compliance with legal and regulatory requirements

/ Identify legal risks associated with the company's operations and develop risk mitigation strategies

/ Conduct legal, due diligence on potential business transactions, acquisitions, and partnerships

/ Advise on risk allocation and mitigation strategies in commercial agreements

/ Collaborate with various internal departments, including finance, operations, and compliance to ensure alignment and adequate legal support 

/ Establish relationships with external stakeholders, including regulatory bodies, government authorities, and investors

Oversee the delivery of legal services and resources to accomplish corporate goals, strategies, and priorities across all regions 

/ Review, draft, and negotiate commercial contracts, including framework agreements, leasing, and transactional documents

/ Provide legal guidance and support in the negotiation and execution of contracts with suppliers, partners, and customers

/ Ensure that contracts align with the company's commercial objectives

/ Maintain proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures, and the community at large 

/ Advise senior corporate officers on a variety of issues 

/ Participate in the formulation of general management policy as a member of the executive management team

/ Manage and grow a team of lawyers

/Work co-operatively with members of global legal team/ Supervise and train employees, including organization and prioritization of work assignments 

/ Foster a cooperative work environment/ Develop and implement legal strategies and solutions

/ Manage and approve all external legal engagements and their outputs

Advise on MSA’s, outsourcing, SLA’s, and legal aspects of procurement such as RFP’s

Advise on legal considerations and costs of going into new markets

 

Qualifications and experience 

/ Qualified Lawyer with a minimum of 10+ years of PQE experience 

/ Strong private practice experience coupled with strong inhouse experience

/ Industry experience, both large company and private equity backed experience 

/ Experience within Real estate/ Construction/ Infrastructure Projects is required

/Experience in the Data center industry is desirable

/ Experience supporting executive leadership 

/ Extensive experience in drafting and negotiating complex commercial agreements and a wide variety of supply side contracts, also customer contracts

/ Experience working and entering new markets within EMEA, U.S. & APAC and considering the legal issues of entering a new market 

/ Good experience working with a variety of external counsel / Experience leading, managing and developing a legal team and working cross functionally on areas such as Procurement, Deals & Leasing 

/ Experience in a high scale business supporting multiple teams and projects

/ Highly motivated self-starter who is a leader and has the ability to develop the Legal function with minimal guidance 

/ Strong interpersonal and presentation skills with the ability to communicate effectively with others of all levels of the business 

/ Strong negotiating skills with both legal and commercial issues 

/ Good organizational, time management and workload management skills, and ability to prioritize as needed

/ Ability to establish and maintain strong relationships with various departments and across all business units 

/ Strong knowledge of legal and regulatory requirements in real estate, construction and data center sectors

/ Proven ability to manage multiple projects and meet deadlines
