Legal Executive (Corporate Secretariat, Corporate Governance)

About The Role

As a Legal Executive, you will play a key role in strengthening corporate governance and supporting legal operations across a multi-entity group with subsidiaries in Singapore and overseas.

Working closely with Senior Legal Counsel, you will manage corporate secretarial responsibilities, coordinate board and governance activities, support regulatory compliance, and help modernize the legal function through process improvements and legal technology. This is an excellent opportunity for someone who enjoys working at the intersection of corporate governance, legal operations, and business enablement within a fast-paced fintech environment.

What You Will Do

  • Manage corporate secretarial matters across the group, including company incorporations, statutory registers, directors' and shareholders' resolutions, and ACRA filings.
  • Coordinate Board, Board Committee, Management Committee, and Shareholder meetings, including scheduling, preparing meeting materials, taking minutes, and tracking follow-up actions.
  • Support and continuously improve the group's corporate governance framework, including governance policies, board committee charters, delegation of authority matrices, and compliance calendars.
  • Maintain and organize corporate records to support audits, fundraising due diligence, regulatory requirements, and investor requests.
  • Coordinate legal onboarding activities, including KYC documentation, notarisation, and corporate documentation requests.
  • Improve the Legal team's operational efficiency by implementing legal technology solutions, including AI-assisted tools, document management systems, and workflow automation.
  • Maintain legal document repositories, monitor contract execution and renewal deadlines, and support day-to-day legal operations.
  • Assist with corporate projects, intra-group restructuring initiatives, and other legal or governance matters as required.

What Are We Looking For

  • Diploma or Degree in Law, Accountancy, Business, or a related discipline.
  • 1-3 years of experience in corporate secretarial, audit, legal operations, compliance, governance, or a related corporate function.
  • Basic knowledge of Singapore corporate law, the Companies Act, and ACRA filing requirements.
  • Experience supporting board or committee meetings, including preparing meeting materials, minute-taking, and following up on action items.
  • Strong organizational and document management skills with the ability to manage multiple priorities and meet deadlines with accuracy.
  • A proactive mindset with an interest in improving processes and adopting legal technology, including AI-enabled tools.
  • Excellent communication and stakeholder management skills, with the ability to work effectively with internal teams, regulators, external service providers, and corporate stakeholders.
  • Experience in fintech, financial services, or other regulated industries, as well as ICSA/CSIS qualifications (or working towards them), will be an advantage.
