Position Overview
The Head of Legal will be the primary legal architect for U.S. operations. Reporting to the General Counsel, you will be responsible for navigating the complex intersection of New Jersey gaming regulations, employment law, corporate governance, and commercial transactions. This role requires a "builder" mindset - a well-rounded legal professional capable of overseeing the organization's corporate, regulatory, labor, and commercial matters. The Head of Legal must possess broad legal literacy to manage these diverse areas, whether internally or through effective engagement with specialized local legal experts. Proven experience in the iGaming or sports betting industry is a significant advantage.
This position is ideal for a seasoned legal professional who thrives in high-growth, highly regulated environments and wants to build a U.S. legal function from the ground up. It’s a great fit for a “builder” mindset—someone comfortable owning complex matters across gaming regulation, employment law, commercial contracts, and corporate governance while partnering closely with business leaders. The Head of Legal will have the opportunity to shape strategy, lead key regulatory and commercial initiatives, and directly influence how Soft2Bet scales its U.S. presence in the iGaming and sports betting sector.
Responsibilities
- Contract Lifecycle Management: Draft, review, and negotiate a high volume of complex commercial agreements, including vendor contracts, Master Service Agreements (MSAs), and IP licensing with sportsbook partners.
- Employment Law: Serve as the primary legal lead on all HR-related matters, including drafting employment agreements, non-competes, and managing compliance with NJ-specific labor laws and payroll regulations.
- Real Estate & Facilities: Manage legal aspects of New Jersey office leasing, facility expansion, and related local land-use or zoning requirements as we grow our physical footprint.
- Strategic Negotiations: Lead high-stakes negotiations with external partners, technology providers, and government entities to secure favorable terms while mitigating long-term risk.
- Corporate Governance: Oversee resolutions, corporate filings, and internal policies to ensure the U.S. entity remains in good standing.
- Regulatory & Gaming Compliance: Lead all interactions with the New Jersey Division of Gaming Enforcement (DGE) and the Casino Control Commission (CCC). Oversee the submission and maintenance of all corporate and individual key employee licenses.
- Risk Management: Develop and enforce a robust internal compliance framework that mirrors the requirements of a "Casino Key Employee" environment.
- Outside Counsel Management: Select and oversee specialized external counsel for high-complexity litigation or niche intellectual property matters.
Requirements
- Education & Licensure: J.D. from an accredited law school and an active bar license in the United States (New Jersey bar admission or ability to register as In-House Counsel in NJ is required).
- Experience: Minimum of 7–10 years of legal experience, with at least 3 years in a leadership role within a startup or a high-growth technology environment.
- Broad Legal Literacy: Demonstrated success in handling diverse legal areas, specifically Employment Law, Commercial Contracts, and Real Estate.
- iGaming Expertise: Proven experience navigating iGaming or sports betting regulations is strongly preferred. Familiarity with the Casino Control Act is a significant plus.
