Contract Manager (m/w/d) - Direktvermarktung
Second Foundation is a global energy trading company with around 450 employees across locations in Prague HQ (CZ), Zug (CH), Berlin (DE), Charlotte (USA), and Tokyo (JP). We specialize in trading in power markets and integrating and optimizing renewable energy and battery storage systems. We are actively expanding our own asset base, with a primary focus on battery storage.
We are looking for a detail-oriented and commercially aware Contract Manager to join our origination team, with a focus on the German market. You will be the operational backbone of our contracting process: translating commercial deals into well-structured agreements and ensuring that our contract landscape remains accurate, current, and audit-ready. You will work closely with our sales, portfolio management, and legal teams, and be present at meetings with clients.
What you would work on?
Contract Creation & Administration
- Draft and manage direct marketing agreements (Direktvermarktungsverträge), flexibility agreements, and related annexes using standardized templates
- Adapt contracts based on specific asset structures, agreed commercial terms, and client requirements
- Ensure all deviations from standard templates are clearly documented, structured, and traceable
- Continuously review and improve contract templates by identifying gaps, ambiguities, or inefficiencies
- Monitor relevant regulatory developments (e.g. EEG, EnWG and related legislation) and ensure contracts and templates remain compliant
- Coordinate closely with Legal and Portfolio Management when implementing regulatory updates
- Identify non-standard or potentially risky contractual clauses and escalate them for proper review and approval
Signature Process & Execution Tracking
- Own the full contract execution lifecycle, from first draft to final countersignature
- Manage and track the signature process, ensuring timely follow-ups with both clients and internal stakeholders
- Act as the main point of contact for all contract-related questions during execution
- Proactively monitor outstanding signatures and take ownership of escalating delays to the appropriate parties.
Contract Register & Reporting
- Own and maintain the central contract register in SharePoint, keeping commercial parameters, term dates, renewal options, asset references, version history, and audit trail accurate and current at all times.
- Take responsibility for proactively flagging upcoming renewals, termination windows, and material changes to the origination and portfolio management teams.
- Own the regular pipeline status reporting to management, ensuring it is reliable and actionable.
- Handle all sensitive commercial contract data with discretion and in line with applicable data protection and confidentiality requirements.
Cross-functional Coordination
- Act as the primary contact for clients on all contract-related matters, ensuring a professional and smooth experience
- Take responsibility for internal alignment with the trading desk, portfolio management, and legal teams to ensure contract terms accurately reflect operational realities and regulatory requirements.
- Own the contract-related response to due diligence processes and data requests from auditors or regulatory bodies where required.
What makes you a great candidate?
- A degree in law, business law, business administration, economics, or a related field is preferred. Equivalent professional experience and demonstrable expertise in contract management will equally be considered.
- 2–5 years of experience in a contracts, legal operations, or commercial administration role, ideally within the energy sector.
- Solid familiarity with the German legal and regulatory framework ( especially EEG, EnWG, BGB, and HGB)
- Familiarity with contract structures related to power purchase and direct marketing agreements is a strong plus.
- Fluent in German and English (written and spoken) – you will draft correspondence and contracts in both languages.
- Advanced proficient in Microsoft Office, particularly Word (track changes, template management), Excel (contract trackers, status overviews), and SharePoint (document management and version control).
- Structured and methodical, with a strong eye for contractual risk and non-standard terms.
- Professional client-facing manner with strong written and verbal communication skills in both languages.
Nice to Have
- Working knowledge of related energy market regulations: GPKE, MaBiS, WiM, NAV, StromNZV, RedispatchVO, MaStRV, and/or BDSG/DSGVO.
- Prior exposure to the operational practicalities of the direct marketing (Direktvermarktung) business, e.g. asset onboarding, contract lifecycle, or customer management in a DV context.
- Experience with digital signature platforms (e.g. DocuSign or equivalent).
- Exposure to trading or portfolio management environment
