About the role

We are recruiting a Senior Legal Advisor who will work in the areas of Corporate, Mergers and Acquisitions (M&A) and Employment Law at the Bitdefender Group level. The role is not limited to the application of Romanian law (nevertheless we do not expect the candidate to have expertise in other jurisdictions): the candidate will participate in multinational projects and supervise the work of external lawyers from the relevant jurisdictions. The candidate is expected to advise on complex topics, participate in large-scale legal projects, and be responsible for the organization's compliance with the applicable legal framework in the jurisdictions in which we operate in collaboration with the local lawyers.

Main responsibilities

Corporate Law and Corporate Governance

• Provide legal advice on the functioning of the group companies;
• Prepare and review corporate documents (resolutions of the General Shareholders' Meeting, decisions of the management bodies, articles of incorporation, amendments to the articles of association etc.);
• Support the implementation of corporate governance best practices and ensure compliance with statutory and reporting obligations.
• Manage the KYC process within the Group
• Manage the compliance with different laws and directives at the Group level.

Mergers and Acquisitions (M&A)

• Coordinate and participate in legal due diligence processes for acquisition, merger, division or reorganization operations;
• Drafts and negotiates the specific documentation of the transactions (term sheet, SPA, contracts for the assignment of shares/shares, confidentiality agreements, declarations and guarantees etc.);
• Manage post-transaction integration aspects and, where applicable, competition notifications and authorizations, facility agreements;
• Collaborate with external advisors, financial and tax teams throughout the entire transaction cycle.

Labour law

• Provide advice on all aspects of the employment relationship;
• Drafting and reviewing individual employment contracts, addenda, job descriptions, internal regulations and internal policies;
• Coordinate the procedures for termination of employment contracts, dismissals, disciplinary procedures and disciplinary investigations;

Generals

• Ensure the general legal compliance of the activity and the implementation of internal procedures;
• Coordinate and supervise the work of external lawyers and consultants in the relevant jurisdictions;
• Participate in multinational legal projects and support business and management teams through pragmatic legal advice, oriented towards the organization's objectives.

Requirements

• Bachelor's degree in Law; Master's degrees or relevant specializations in corporate law/M&A/labor law are an advantage;
• Minimum 10 years of relevant experience, acquired within large or medium-large companies with complex corporate structure and international exposure (corporate environment – e.g. IT&C, energy, retail, manufacturing, services, technology), either in in-house legal departments or in law firms/firms;
• Solid and demonstrable experience in corporate law, M&A transactions and employment law;
• Very good knowledge of the applicable Romanian legal framework (Law no. 31/1990, Labor Code, legislation on competition and M&A transactions) and ability to coordinate multinational projects and supervise external consultants from other jurisdictions;
• Excellent communication skills in English (advanced level);
• Ability to manage complex and multiple legal projects in parallel, with high autonomy and responsibility;
• Strategic thinking, attention to detail, organized spirit, flexibility and ability to collaborate in a multicultural environment;
