About the role

We are seeking a highly capable attorney to manage corporate governance, regulatory compliance, and legal operations across multiple jurisdictions. This role is integral to maintaining compliance and supporting business growth globally. The Senior Counsel / AGC will manage corporate filings, entity compliance, KYC requests, and legal department operations while advising on M&A and fundraising initiatives, ideally with cross-border exposure.

Specific Responsibilities

• Manage corporate filings in US and international jurisdictions, including ongoing filing and information requests.
• Oversee entity management and maintain corporate compliance records.
• Handle KYC requests from customers and banks.
• Maintain data rooms for key diligence records.
• Assist with organization and improvement of legal department operations.
• Advise on M&A and fundraising matters, including cross-border considerations.
• Support ad hoc legal projects as required.

Location

Requirements 

• Law degree (J.D. or equivalent) and admission to practice in at least one jurisdiction.
• 2+ years experience in regulatory and corporate compliance across multiple jurisdictions (US plus at least one foreign jurisdiction preferred).
• 2+ years advising on M&A and fundraising, ideally cross-border.
• 5+ years project management experience, coordinating multiple stakeholders and workstreams.
• Excellent written and verbal communication.
• Collaborative yet capable of independent decision-making.
• Detail and process-oriented.
• High integrity and ethical standards.

Requirements - Preferable

• Proven experience in legal department of a fast-paced, hyperscaling SAAS or technology company
• Experience with contract review and management.
• Privacy compliance experience.
• Located in a timezone that coordinates with North America and EMEA.
