This role will provide support to the Company Secretary and the Corporate Governance team, in the preparation of papers to Executive Committees and provide governance and administrative support in the provision of the work of the department and Pay.UK.
The role will support the team in ensuring compliance with legislative, regulatory and constitutional requirements working to professional and ethical standards at all times.
Key Accountabilities
- Support the Corporate Governance team in all areas of the department’s work.
- Plan, arrange, prepare and minute committee meetings in close coordination with the chair and other members.
- Preparation of agendas, collation and circulation of reports, taking accurate minutes, disseminating actions, and drafting governance reports.
- Submitting accurate and timely returns, filings, applications and other documents to Companies House, FMID & PSR.
- Maintaining all statutory and other registers for the Company and subsidiaries.
- Maintaining the annual governance and compliance calendar.
- Maintaining the group structure chart and records.
- Development and management of internal reporting requirements such as but not limited to, Risk, Data and Compliance reporting.
- Build and maintain reporting requirements against the UK Corporate Governance code.
- Working with members of other teams to ensure that deliverables are produced to a high standard.
- Provide workstream level reporting, against key deliverables and milestones.
- Develop / strengthen key stakeholder relationships with executive management and other Pay.UK stakeholders to ensure timely inputs.
- Work collaboratively and, providing support to other members of the Corporate Governance team.
- Ensure compliance with all Pay.UK policies and procedures.
- Maintain governance standards in line with regulatory requirements and internal policies, mitigating potential reputational, brand, regulatory and compliance risk by taking proactive action.
Skills, Experience & Qualifications
- Part ICSA/CGI qualified, with clear sight of exam completion is essential.
- Demonstrable enthusiasm for the governance profession.
- At least 4-5 years’ experience working within a Secretariat/Governance team.
- Proven experience of minute taking and proactive tracking of actions at a senior level.
- Practical experience of UK company administration, with an understanding of corporate governance requirements, and knowledge of the regulatory requirements for complex financial service organisation.
- Good knowledge of the Companies Act, with some technical knowledge and ability to interpret, communicate and apply corporate law.
- Experience managing senior stakeholders in a heavily regulated environment.
- Good interpersonal skill in dealing with senior executives, directors, company advisors and other managers.
- Precision, integrity, accuracy and high standards.
- Good computer skills including use of Microsoft Office, Excel, Diligent Entities or other Board portal software, particularly Board Intelligence.
- Good communication skills with ability to prioritise.
- Ability to work under own initiative/achieve deadlines/timescales essential.
- Confident and proficient personality.
- Ability to interface at highest levels with a high level of tact and diplomacy essential.
- Ability to challenge the status quo, making recommendations for continuous improvement to processes and ways of working to maximise efficiency, effectiveness and delivery.
- Ability to coordinate change and plan ahead effectively, proactively making recommendations for tasks or projects that support the organisation.
- Policy and planning experience, and where appropriate, able to liaise with the Legal, Compliance and Regulatory and Policy teams.
- An effective communicator and team player, with good interpersonal skills and the ability to develop trusted working relationships with team members and peers.
- Highly organised and pragmatic in handling multiple and competing priorities.
