Senior Legal Counsel

Your Role and Impact: 
As Legal Counsel, your role is pivotal to safeguarding the companyโ€™s legal interests, ensuring regulatory compliance, and enabling global growth. Your contributions span across multiple jurisdictions and industries, with a particular focus on the high-demand  Fintech, and intellectual property protection. By offering legal support for international operations, you play a vital role in shaping the company's legal strategy, protecting its assets, and mitigating risks.

Probation Period Tasks:

  • Audit and prepare contracts and agreements with clients and vendors, ensuring they align with the companyโ€™s primary financial flows and supporting documentation (invoices and bills).
  • Maintain international labor contracts between the company and private entrepreneurs or contractors.
  • Develop and present alternative labor relations frameworks between the company and its employees/contractors, both in Ukraine and abroad.
  • Collaborate with the Finance team to manage negotiations with third parties related to the implementation of employer-of-record services.
  • Research relevant legislation, structure, and draft legal opinions for external clients regarding international and local laws/operations, establishing clear frameworks with defined drafts and action points.
  • Ensure cost-effective trademark registration processes.
  • Initiate research on acquiring patents.

Key Responsibilities:

  • Provide comprehensive legal support for international operations, including the negotiation, drafting, and review of contracts for both clients and vendors.
  • Conduct thorough legal research and deliver well-structured legal opinions on international and local laws, with a particular focus on Fintech regulations and compliance.
  • Manage the trademark registration process, ensuring the company's intellectual property is protected cost-effectively and promptly across multiple jurisdictions.
  • Initiate and oversee patent research and filing processes to secure global intellectual property rights.
  • Conduct due diligence on new contractors and partnerships, ensuring compliance with international standards and mitigating legal risks.
  • Support international tax planning and compliance efforts, providing guidance on cross-border transactions and structuring.
  • Maintain and update international labor contracts, particularly for Ukrainian private entrepreneurs, ensuring compliance with both local and international labor laws.
  • Collaborate with the Finance team to manage negotiations with third parties concerning employer of records models and other contractual matters.
  • Audit existing contracts and agreements, ensuring they align with the companyโ€™s financial and operational strategies.

Requirements & Skills:

  • Demonstrated experience in international legal work, with a strong emphasis on contract management, company registration.
  • 3+ years of experience in international technology companies as Senior Legal Counsel, providing sound legal opinions on different topics.
  • Experience in international tax planning and compliance.
  • Expertise in legal research and the preparation of clear and actionable legal opinions.
  • Proven track record in conducting due diligence on contractors and partnerships, with a keen eye for detail and risk mitigation.
  • Experience in the Fintech, iGaming industry, or similar fields, with an understanding of relevant legal challenges and regulatory frameworks.
  • Strong legal research skills, with the ability to produce clear and actionable legal opinions for internal and external stakeholders.
  • Ability to work independently and collaboratively, managing multiple tasks and projects in a fast-paced environment.
  • Proficiency in English at a B2 level or higher, with strong communication skills for drafting and presenting complex legal documents.
