THE ROLE

An internship in the legal department of Starlight offers a great opportunity to gain hands-on experience in legal issues related to energy law, corporate M&A transactions, corporate governance. It offers an opportunity to gain specialized knowledge on law, develop contract management skills and learn about project development. The resource will be included in a legal department composed by 4 lawyers, lead by General Counsel. While the most of the activities will be at support of the Italian business development activities, the international presence of Starlight will give also the opportunity to work in different countries and jurisdictions (currently Greece, UK, Romania and Canada).

KEY RESPONSIBILITIES

  • Commercial and Project Contracts (NDA, letter of intent, non-binding offer, consultancy agreement, service agreements, etc): support in drafting, negotiations and documents archive. In particular the resource will manage with document proof reading activity, the archive of the documentation, organization of conference call with the counterparty, assistance with the signature process
  • Land Agreements: support in drafting, negotiations and documents archive. In particular the resource will manage with document proof reading activity, the archive of the documentation, organization of conference call with the counterparty, assistance with the signature process, managing the relation with the notarial firm and the external lawyers.
  • Contractual communications: draft any type of communication connected to any type of contracts (land agreement, project contracts, loan agreement etc), including those necessary for the extension of the agreement. In particular the resource will draft the first draft, will manage the signature process and will proceed with the archive;
  • Communication to public authorities: draft any type of communication to send to the public authorities involved in the authorization procedure. In particular the resource will draft the first draft, will manage the signature process and will proceed with the archive;
  • Corporate secretary: provide assistance for the drafting of minute of board or shareholder’s meeting and power of attorney;
  • Legal general: Legal researches, drafting of opinions and memoranda, analysis of the applicable law, regulatory news and judicial sentences which involve to the sector.
  • Virtual Data Room and Archive: Assistance in preparation of the VDR and archive within the ordinary process of business development and within the M&A transaction.

SKILLS & COMPETENCIES

To be successful in this role, you will demonstrate:

  • Problem solving skills – you must be able to find the best solution for the team with reference to the legal matters.
  • Time management & prioritization skills- things can get a little hectic, so the ability to effectively manage yourself and your workload is critical
  • Excellent communication skills (in English or/and other European languages) - you must be able to organize your thoughts in a way that others find clear and compelling. You will be expected to together well-written, grammatically correct emails and other communications. When communicating verbally – whether over the phone, on video calls, in person or meetings – you will need to be articulate, warm and engaging.
  • Flexibility- being an effective team player means being flexible in your approach and open to getting involved with new things, even if they are not spelt out in your job description.
  • Intellectual Curiosity – we are looking for someone who is truly interested in our profession and has the intellectual curiosity to delve deep into topics and bring fresh ideas to the team.
  • IT Literacy - you should have an interest in technology, including AI and show the aptitude to bring this into your role and the projects you are accountable for delivering. You do not need to be a technologist yourself but you must be technically literate and curious about the possibilities that technology
  • Delivery focus – it may sound obvious, but the ability to proactively churn through work at pace and deliver quality outputs matters
  • Strong critical thinking and problem-solving skills

EXPERIENCE & QUALIFICATIONS 

  • Completed or currently completing a Bachelors or Masters in Law
  • Right to work in Italy

ABOUT US
