Corporate Governance & Policy Manager

Purpose/ Mission:

The Corporate Governance, Policy & Compliance Manager is responsible for developing and stewarding the internal governance and policy framework that underpins how Meranti Green Steel operates, makes decisions, and meets external expectations. This role is critical to ensuring our foundational systems are aligned with our values, structured for scale, and credible to stakeholders across jurisdictions.

The core focus is the practical delivery of fit-for-purpose policies and governance procedures — from board-level delegations to cross-functional operating policies — with consistency, traceability, and clarity. The role will work closely with all corporate functions to ensure that the right policies are in place ahead of Final Investment Decision (FID), and that they can be effectively implemented across the organization.

The role also includes responsibility for ensuring that our internal policy architecture aligns with key regulatory and investor-linked frameworks such as CBAM, ISO, and relevant corporate governance codes in Singapore, Thailand, and Oman.

Key Responsibilities:

Policy & Governance Framework

  • Develop and implement a comprehensive internal policy architecture covering corporate, functional, and site-level needs
  • Maintain the Policy Register and oversee the document control system to ensure version control, access, and audit-readiness
  • Establish clear delegation of authority frameworks, accountability structures, and policy approval protocols
  • Cross-Functional Integration
  • Partner with HR, HSE, Finance, IT, Sustainability, and other functions to support the drafting, review, and alignment of key policies
  • Serve as the corporate anchor for mapping external standards — from corporate governance frameworks (e.g. OECD, Singapore Code, IFC) to product and carbon-related standards (e.g. ISO, CBAM, ResponsibleSteel) — and integrating them into internal policy
  • Coordinate policy awareness and implementation across business units and countries, ensuring alignment throughout the Meranti Green Steel Group
  • Governance Maturity & Risk Readiness
  • Prepare the organization for investor/lender due diligence and certification assessments by ensuring required policies and controls are in place
  • Work with external consultants and internal leads to align policies to FID expectations, ESG requirements, and regulatory norms
  • Identify governance risks, gaps, and improvement areas as the organization scales

Requirements/ Skills/ Experience:

  • 8+ years of experience in governance, policy development, or corporate operations roles
  • Experience in infrastructure, energy, industrial, or regulated sectors preferred
  • Familiarity with international corporate governance standards, ESG frameworks or ISO management systems is a plus
  • Structured thinker with excellent writing and documentation skills
  • Able to interpret standards, translate regulatory complexity into operational clarity
  • Confident working across cultures, levels, and disciplines
  • High integrity, meticulous, and comfortable owning governance responsibilities

Required Education/ Qualification/ Training:

  • Bachelor’s degree in Business, Law, Public Administration, Engineering, or a related field
  • Training or certification in governance, quality management systems, or compliance is advantageous but not required

Required Language Proficiency:

  • English - Fluent
