Interim General Counsel & Company Secretary (12 month FTC)

With this in mind Koa Health is currently looking for an Interim General Counsel & Company Secretary to join the business during these exciting times.
As we progress with our funding and client base, we expect this individual to act as the Senior Legal Officer of this organisation serving on the Executive Committee. As GC and Company Secretary there will also be clear responsibilities to the board, whilst reporting directly to the Chief Executive Officer. As a member of our Executive Team you will have the opportunity to lead the legal and company secretarial services across the breadth of Koa Health’s business and geographical reach with increasing focus on the US markets.
You will:
- Working hand in hand with the CEO and other members of the Executive Team as Koa Health delivers on its business plan and mission with trust, integrity and operational excellence.
- Being a trusted advisor to the CEO and Executive Team on a wide range of legal and governance matters across the breadth of Koa Health’s business and geographical reach with particular focus on the UK, Spain, the USA and Australia.
- Acting as Company Secretary and advising the Board of Koa Health Limited and its subsidiaries in the UK, Spain and the USA including attending Board meetings, hands on management of Board administration (including preparation of Board minutes and written resolutions) managing company records, governance and delivery of appropriate legal advice.
- Managing and delivering corporate legal advice including working with external counsel with respect to the legal and governance documentation required for fundraising and investment initiatives.
- Acting as Chair of the Risk Committee and designated Legal Risk Owner.
- Mentoring and accelerated career development of our Senior Legal Counsel, who currently leads on:
- the delivery of all business-as-usual legal advice: advising on a wide range of commercial contracts (including customer contracts, vendor contracts and strategic contracts with key commercial partners); product and service terms and conditions; trademark and intellectual property matters; and managing ad hoc legal queries from across Koa Health’s business.
- Identifying, creating and managing increasingly essential legal operations initiatives ensuring the efficient and smooth running of Koa Health’s legal department
- Managing the designated legal budget.
About You:
We are looking for a collaborative, approachable, motivated and self aware individual with a desire to learn and grow with Koa Health.
You will bring:
- A minimum of 10 years of previous legal experience (including material experience in-house)
- An English or US practising certificate
- Proven experience with the full range of English and US law corporate and commercial law challenges including:
- experience as company secretary with a UK Headquartered International Group
- corporate transactional experience using standard venture capital backed financial instruments or equivalent
- commercial contracting experience in an International scale up environment
- knowledge of intellectual property protection and enforcement
- foundation in UK, European and US data protection frameworks
- experience in a regulated business or regulated environment
- Proven track record as an engaging leader of a legal team, with a “can do” attitude and ability to deliver legal services at all levels of an organisation.
- Proven experience of designing, creating and implementing legal operations initiatives including with respect to International business expansion and scale-up environments.
- Proven aptitude to working in a mainly remote, fast paced, agile environment.
- Experience in clinical services (desirable).
