About Invisible

Invisible is an Applied AI research company closing the gap between frontier models and the enterprise. We provide the platform infrastructure that makes AI work in production at scale: unify fragmented data, map complex processes, orchestrate and evaluate agents, and stand up hyper-personalized workflow applications fast for companies like Grubhub, Alliance Global, and Thomson Reuters. Where models fall short, we build RL environments and data to fix them. The result: a virtuous cycle between enterprise deployment and model training.

Recognized as Best Predictive Analytics Platform of the Year at the 2026 AI Breakthrough Awards, Invisible makes AI work.

About the Role

Invisible is seeking an exceptional Corporate Counsel to play a central role in navigating complex legal, corporate, and strategic matters at a rapidly scaling global AI technology company.

Reporting directly to the Chief Legal Officer, you will serve as a trusted legal adviser to senior leadership, with meaningful exposure to the CEO, founder, and Board. You will take ownership of sophisticated corporate legal matters spanning corporate governance, equity and capital structure, strategic transactions, international expansion, and enterprise risk.

This is not a traditional corporate counsel role focused on routine legal execution. We are looking for a commercially sophisticated attorney who combines exceptional legal judgment with the ability to independently navigate complex, high-stakes matters. You will be expected to anticipate issues, challenge assumptions, assess legal and commercial considerations, develop defensible recommendations, and drive matters through to resolution in close collaboration with the CLO and executive leadership.

We value demonstrated capability and judgment over years of experience alone. The defining quality of the successful candidate will be the ability to take a complex, high-stakes corporate legal issue, independently assess the legal and commercial considerations, formulate a sound and defensible recommendation, and drive the matter through to resolution working closely in collaboration with the CLO. The successful candidate will bring intellectual rigor, sound judgment, and a strong ownership mentality, with the confidence to operate as a genuine strategic partner to the business.

This is a unique opportunity to operate at the intersection of corporate law, emerging technology, and executive decision-making.

What You'll Do

Corporate Governance

  • Serve as a key legal adviser on corporate governance matters, partnering with the CLO, CEO, executive leadership, and Board on significant corporate decisions.
  • Lead legal workstreams supporting Board and committee activities, advising on governance frameworks, fiduciary obligations, shareholder rights, and corporate approvals.
  • Participate in Board and committee meetings alongside the CLO, providing substantive legal analysis and recommendations as appropriate.

Capital Structure, Equity & Strategic Transactions

  • Own the company's equity compensation programs and capitalization matters, advising on equity structuring, incentive arrangements, shareholder rights, and related legal considerations.
  • Partner with finance and executive leadership on capital structure strategy, financing transactions, and compliance with financing and credit arrangements.
  • Lead legal workstreams in connection with strategic corporate transactions, including M&A, investments, restructurings, and other significant corporate initiatives.

International Corporate Strategy & Expansion

  • Lead legal aspects of the company's global corporate structure, including international entity formation, restructuring, governance, and ongoing compliance.
  • Partner with finance, tax, and business leadership to evaluate and implement international expansion and operating structures, balancing legal, regulatory, tax, operational, and commercial considerations.
  • Advise on cross-border corporate matters and develop scalable legal frameworks to support the company's evolving global footprint.

Regulatory, Risk & Intellectual Property

  • Partner with the CLO and business leadership to identify and address material legal and regulatory risks arising from the company's global operations and evolving AI technology landscape.
  • Provide legal guidance on corporate compliance, privacy, export controls, foreign investment considerations, and other applicable regulatory frameworks.
  • Advise on intellectual property ownership, protection, and commercialization, including matters relating to proprietary technology, data, and strategic commercial arrangements.
  • Develop pragmatic, risk-based solutions that enable the business to pursue strategic opportunities while protecting its long-term interests.

Strategic Legal Advisory & Operational Leadership

  • Lead high-priority legal initiatives from initial assessment and strategic recommendation through negotiation, implementation, and execution.
  • Structure and negotiate sophisticated commercial and strategic agreements involving material financial, operational, intellectual property, or regulatory considerations.
  • Partner with senior executives on complex and novel legal matters, translating legal risks into clear business options and actionable recommendations.
  • Drive improvements to legal infrastructure, governance processes, and operational efficiency, building scalable systems appropriate for a rapidly growing global enterprise.
  • Manage external counsel relationships, providing strategic direction and ensuring high-quality advice, efficient execution, and disciplined cost management.

What We Need

  • J.D. from an accredited U.S. law school and active membership in good standing with at least one U.S. state bar.
  • 5–10+ years of corporate legal experience, including substantial experience at a leading corporate law firm (Am Law 100 or equivalent), with exposure to complex transactions, corporate governance, and strategic advisory work. The sophistication of your experience and demonstrated capability matter more to us than tenure alone.
  • Strong corporate law expertise, including corporate governance, capital structure, equity compensation, shareholder matters, and complex corporate transactions.
  • A demonstrated ability to independently own complex, high-stakes legal matters from inception to resolution, exercising sound judgment, developing commercially defensible recommendations, and taking accountability for execution.
  • Exceptional commercial acumen and analytical ability, with the capacity to evaluate competing risks, understand broader business objectives, and develop pragmatic solutions in ambiguous, fast-moving environments.
  • Experience advising senior executives and sophisticated stakeholders, with the credibility, confidence, and communication skills to influence decisions and constructively challenge assumptions.
  • Experience with corporate financings, M&A, credit facilities, international restructurings, or other significant strategic transactions.
  • Strong negotiation, drafting, and project leadership skills, with the ability to manage complex, cross-functional matters involving multiple stakeholders and external advisers.
  • Intellectual curiosity, initiative, and a strong sense of ownership, combined with a low-ego, collaborative approach and the willingness to move seamlessly between strategic advisory work and hands-on execution.

Nice to Have

  • Prior in-house experience at a high-growth, venture-backed, private equity-backed, or global technology company.
  • Familiarity with enterprise AI, SaaS, technology transactions, data licensing, intellectual property, and emerging AI regulatory frameworks.
  • Experience advising on cross-border corporate structures and coordinating legal matters across multiple jurisdictions.
