How you’ll demonstrate Ownership
As a strategic Senior Commercial Counsel and Company Secretary, you will be the engine room of our deal desk and the guardian of our corporate integrity.While this is a Global Role assisting our distributed teams in Norway, India, and beyond, your primary theater of operations will be Europe and the Middle East (EMEA). You will lead high-stakes negotiations while maturing our governance frameworks as we prepare for the public markets.
What You’ll Do
Commercial Negotiation & Revenue Enablement
- Adopt a solution-oriented approach to lead negotiations for complex, multi-year B2B global SaaS agreements, ensuring legal acts as a business enabler rather than a bottleneck.
- Provide expert legal support to the wider global team, ensuring consistency in our global commercial playbooks
- Partner with Sales leadership to streamline customer assurance processes, facilitating rapid deal closure and supporting exponential revenue growth
Corporate Governance & Company Secretary
- Oversee the corporate governance framework to ensure robust decision-making, transparency, and accountability across all global entities.
- Organize Board and Audit Committee meetings, ensuring all agendas, minutes, and resolutions are precisely recorded and archived.
- Maintain the official Shareholders' Register and manage the UBO Register filings with the KVK.
- Ensure timely filing of Annual Financial Statements and corporate changes with the KVK (Chamber of Commerce).
Digital Innovation & Scalability
- Champion the use of digital tools to modernize how traditional compliance is handled. Move away from manual, headcount-heavy processes by implementing automation and technology-driven solutions that allow the function to scale efficiently with the business.
Commercial Enablement & Agility
- Adopt a solution-oriented approach that balances risk mitigation with speed. Ensure Legal acts as a business enabler rather than a bottleneck, facilitating rapid deal closure and supporting revenue growth.
- Partner with Sales leadership to streamline customer assurance processes, ensuring that our compliance posture helps—rather than hinders—commercial velocity.

Required Qualifications
- 12+ years of experience in corporate legal or commercial counsel roles, with a significant portion in a senior leadership capacity.
- J.D or Master of Laws (LL.M.)
- Proven experience in the SaaS/Software technology sector.
- Demonstrated experience using technology and automation to scale legal functions without relying solely on increasing headcount.
- Understanding of the Dutch BV structure, Civil Transactions Law, and mandatory filing timelines.
- Ability to work independently and efficiently, often with tight deadlines, with understanding of the legal in-house role.to travel as needed for client engagements.
Preferred Experience
- Demonstrated success working with distributed teams across different time zones and cultures.
- Fluent in Dutch and English
